Terms of Service

These Terms of Service (“Terms”) govern your use of the Magister Coach website and any coaching services provided by OPTIMIST COACHING AND TRAINING SRL, a company registered in Romania (CUI 35287467), operating under the name Magister Coach (“Magister Coach”, “we”, “us”, or “our”).
By accessing our website, booking a coaching session, or using our services, you agree to be bound by these Terms.
1. About Magister Coach
Magister Coach provides professional coaching services, educational resources, workshops, group programmes, and related content designed to support personal and professional development.
Coaching is a collaborative process intended to help clients clarify goals, improve decision-making, overcome obstacles and develop practical strategies for growth.
2. Eligibility
Our services are intended solely for individuals who are at least 18 years old.
By using our services, you confirm that:
- you are at least 18 years of age;
- you have the legal capacity to enter into a binding agreement; and
- the information you provide is accurate and complete.
3. Nature of Coaching
Coaching is not psychotherapy, psychology, psychiatry, counselling, medical treatment or legal, financial or tax advice.
Our coaches do not diagnose, treat or prevent medical or mental health conditions.
If you are experiencing a medical emergency, mental health crisis or believe you may require clinical treatment, you should immediately seek assistance from an appropriately qualified healthcare professional or emergency services.
If you are currently receiving treatment from a doctor, psychologist or other healthcare professional, coaching is intended to complement—not replace—that treatment.
4. Booking Services
Submitting an enquiry form does not create a coaching agreement or guarantee an appointment.
Appointments become confirmed only after they have been accepted and scheduled by Magister Coach.
We reserve the right to decline coaching requests where we reasonably believe that:
- coaching is not an appropriate service;
- another professional would better meet your needs;
- a conflict of interest exists;
- continuing would be unlawful or unethical; or
- another legitimate business reason prevents us from accepting the engagement.
5. Coaching Packages
Coaching services may be purchased:
- as individual sessions;
- as coaching packages;
as team or organisational engagements; or - under another arrangement agreed in writing.
Package details, pricing and duration will be confirmed before coaching begins.
6. Fees and Payment
Unless otherwise agreed in writing:
- payment is required before each session or package begins;
- prices are quoted in EUR unless otherwise specified;
- all applicable taxes will be included or clearly identified.
Payments are processed securely through our chosen payment provider.
We do not store your payment card details.
7. Rescheduling and Cancellation
Individual coaching sessions may be cancelled or rescheduled without charge by providing at least 48 hours’ notice before the scheduled start time.
Where less than 48 hours’ notice is provided, the session will normally be treated as delivered and charged in full.
If circumstances beyond your reasonable control prevent attendance, we may, at our sole discretion, choose to waive this policy.
8. No-Shows
Failure to attend a scheduled coaching session without prior notice will be treated as a no-show.
No-show sessions are considered delivered and are not refundable.
9. Ending an Ongoing Coaching Engagement
Either party may end an ongoing coaching engagement by providing two weeks’ written notice, unless a different arrangement has been agreed in writing.
Where a coaching package is cancelled:
- sessions delivered before the effective termination date remain payable;
- sessions scheduled during the notice period may still take place;
- unused sessions remaining after the notice period will be refunded unless otherwise agreed.
Refunds will normally be processed using the original payment method within a reasonable period.
10. Your Responsibilities
Coaching is a collaborative process.
To obtain the greatest benefit from coaching, you agree to:
- attend scheduled sessions on time;
- communicate honestly and openly;
- actively participate in the coaching process;
- complete any agreed actions between sessions where appropriate;
- inform us of any circumstances that may materially affect the coaching relationship.
You acknowledge that meaningful results depend largely upon your own commitment, decisions and actions.
11. Confidentiality
Information shared during individual coaching sessions will be treated as confidential.
We will not disclose confidential information except:
- with your consent;
- where required by law;
- where disclosure is necessary to protect the safety or rights of any person;
- where necessary for legal proceedings;
- to professional advisers who are themselves subject to confidentiality obligations.
Where coaching takes place in a group setting, we encourage all participants to respect each other’s confidentiality. However, we cannot guarantee that other participants will maintain confidentiality.
12. Intellectual Property
Unless otherwise stated, all content made available through Magister Coach, including but not limited to text, articles, guides, worksheets, exercises, graphics, logos, branding, website design, audio, video, downloads, and coaching materials, is owned by or licensed to OPTIMIST COACHING AND TRAINING SRL and is protected by applicable intellectual property laws.
The Strategic Optimism Framework™, the Magister Coach name, logo, and associated branding are proprietary assets and may not be copied, reproduced, modified, distributed, published, or used for commercial purposes without our prior written permission.
You may:
- access and use our website for your personal, non-commercial use;
- download resources that are expressly made available for download;
- share links to our website or publicly available content.
You may not:
- copy or redistribute our coaching materials;
- create derivative works based on our materials;
- remove copyright or proprietary notices;
- use our intellectual property in a manner likely to create confusion or imply endorsement.
13. No Guaranteed Outcomes
Every coaching engagement is unique.
While we aim to provide coaching services with professional skill and care, we do not guarantee any particular outcome, achievement, financial result, career advancement, business success, personal transformation, or other specific result.
Testimonials, examples, case studies and client stories published by Magister Coach represent individual experiences and should not be interpreted as guarantees that you will achieve similar results.
14. Limitation of Liability
Magister Coach provides coaching services with reasonable skill, care and professional diligence.
You acknowledge that coaching is a collaborative process and that all decisions, actions and outcomes arising from coaching remain your sole responsibility.
To the fullest extent permitted by applicable law, Magister Coach shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, loss of business opportunities, loss of revenue, loss of goodwill or other economic losses arising out of or in connection with the use of our website or coaching services.
Subject to the paragraph below, our total aggregate liability arising from any claim relating to our services, whether based on contract, tort (including negligence), statutory duty or otherwise, shall not exceed the total amount paid by you for the specific coaching services giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- intentional misconduct;
- any liability that cannot legally be excluded or limited under applicable law; or
- any mandatory rights granted to consumers under applicable law.
15. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond that party’s reasonable control.
Such circumstances include, without limitation:
- natural disasters;
- war;
- terrorism;
- civil unrest;
- epidemic or pandemic;
- government action;
- interruption of utilities;
widespread internet or telecommunications failures; - serious illness;
- labour disputes;
- other events beyond reasonable control.
Where reasonably possible, affected sessions will be rescheduled at the earliest mutually convenient opportunity.
16. Website Availability
We make reasonable efforts to ensure that our website and online services remain available.
However, we do not guarantee uninterrupted or error-free access.
We may suspend, modify or discontinue any part of the website where reasonably necessary for maintenance, security, legal compliance or business reasons.
17. Severability
If any provision of these Terms is found by a court or competent authority to be invalid, unlawful or unenforceable, that provision shall be interpreted, modified or, where necessary, severed only to the extent required.
The remaining provisions shall continue in full force and effect.
18. No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other right.
Any waiver must be made expressly and in writing.
19. Entire Agreement
These Terms, together with our Privacy Policy and any written coaching agreement or proposal accepted by both parties, constitute the entire agreement between you and Magister Coach regarding the services provided.
They supersede all prior discussions, understandings and representations relating to those services.
20. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of Romania.
If you are acting as a consumer, nothing in these Terms limits any mandatory rights you may have under the consumer protection laws applicable in your country of residence.
Subject to those mandatory rights, the Romanian courts shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services provided by Magister Coach.
21. Changes to These Terms
We may amend these Terms from time to time to reflect changes in our services, legal requirements or business operations.
The updated version will always be published on this page together with the revised “Last updated” date.
Your continued use of our website or services after the updated Terms take effect constitutes acceptance of those changes.
